Terms and Conditions

These Terms and Conditions (“Agreement”) are between you (“Client”, “you”, or “your”) and IEI Digital Marketers (“Company”, “we”, “our”, or “us”). By accessing or using our website and services, you agree to be bound by the terms set forth in this Agreement. If you do not agree to these terms, do not access or use our services.


1. Services Provided

IEI Digital Marketers provides a variety of digital marketing services, including but not limited to web design and development, SEO, graphic design, social media marketing, lead generation, and other related services (“Services”). The scope of services will be defined in individual contracts or project agreements and may include additional terms specific to each engagement.


2. Client Responsibilities

You agree to provide accurate and complete information needed to perform our services and cooperate with us in a timely manner. You are responsible for:

  • Providing us with all necessary access and permissions to fulfill the scope of work.
  • Providing clear feedback, instructions, and approvals in a timely manner.
  • Ensuring that all content, trademarks, or other intellectual property provided to us for the purpose of the project does not infringe on third-party rights.

3. Payment Terms

  • Fees: The fees for our Services will be outlined in the specific service agreement or proposal.
  • Invoices: We will issue invoices for the agreed-upon services. Payments are due as specified in the service agreement, typically within 30 days from the invoice date unless otherwise agreed.
  • Late Payments: If payment is not received within the agreed time frame, a late fee of [X]% per month may be charged.
  • Currency: All fees will be quoted and paid in U.S. Dollars unless otherwise stated.
  • Additional Costs: Any out-of-pocket expenses incurred for the execution of the project, such as licensing fees, advertising costs, or third-party tools, will be billed separately.

4. Intellectual Property Rights

  • Ownership of Work: Upon full payment for our Services, we will transfer ownership of the work produced specifically for you (such as website designs, graphics, etc.) unless otherwise agreed.
  • Licensing: If third-party tools, software, or intellectual property are used in the course of providing services (e.g., stock images, fonts, plugins), you will receive a non-exclusive license to use those materials in connection with the project.
  • Client Content: You retain ownership of any content (e.g., logos, trademarks, text) provided by you for the purpose of completing the project. You grant us a license to use such content solely for the purpose of delivering the agreed-upon Services.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information provided during the course of the relationship. This includes client data, business strategies, financial information, and any other non-public data shared by either party.


6. Termination

  • By Client: You may terminate our services at any time by providing written notice. Termination will not affect any outstanding obligations or payments due for services already provided.
  • By IEI Digital Marketers: We may terminate our services if you breach any of the terms of this Agreement or fail to fulfill your payment obligations. In the event of termination, all fees for services rendered up to the termination date will remain due.

7. Limitation of Liability

To the maximum extent permitted by law, IEI Digital Marketers shall not be liable for any indirect, special, consequential, or punitive damages arising out of or in connection with this Agreement, even if we have been advised of the possibility of such damages. Our liability is limited to the total amount paid by you for the specific services provided under the applicable agreement.


8. Indemnity

You agree to indemnify and hold harmless IEI Digital Marketers, its officers, employees, agents, and subcontractors, from any and all claims, losses, liabilities, damages, and expenses (including attorney’s fees) arising out of or relating to:

  • Your breach of any provision of this Agreement.
  • Your use of the Services provided by IEI Digital Marketers.
  • Any content or material you provide to us that infringes upon the intellectual property rights of third parties.

9. Governing Law and Dispute Resolution

  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Illinois, without regard to its conflict of law principles.
  • Dispute Resolution: Any disputes arising out of or relating to this Agreement shall be resolved through mediation or binding arbitration, as determined by the parties, in Des Plaines, Illinois.

10. Force Majeure

Neither party shall be liable for failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, strikes, governmental regulations, or power outages.


11. Amendments

We reserve the right to modify or amend these Terms and Conditions at any time. Any changes will be posted on our website with an updated effective date. It is your responsibility to review these terms periodically.


12. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will continue in full force and effect.


13. Entire Agreement

This Agreement, along with any signed service agreements or proposals, constitutes the entire understanding between you and IEI Digital Marketers regarding the Services provided. Any previous agreements, oral or written, are superseded by this Agreement.
